Terms of Service
These Terms govern use of the Qlynic platform. By creating an account, accessing, or using the services you agree to these Terms.
Definitions
“Services” means scheduling, reminders, provider management, receipt generation, and related features. “You”/“Customer” means the clinic entity or individual accepting these Terms. “Content” includes data uploaded or generated in your account. “License” refers to the purchased or trial right to use the Services.
Account & Registration
- Provide accurate registration information.
- Maintain confidentiality of credentials.
- Notify us of unauthorized access immediately.
- We may suspend accounts involved in abuse or security threats.
License Grant & Restrictions
Subject to these Terms, we grant you a non‑exclusive, non‑transferable, revocable license to use the Services for legitimate clinic operations. You shall not:
- Reverse engineer, decompile, or attempt to derive source code (except as permitted by law).
- Bypass technical access controls.
- Use automated means to extract large volumes of data except via documented APIs.
- Resell, sublicense, or provide the Services to third parties outside your clinic environment.
Acceptable Use
You agree not to upload or transmit unlawful, harmful, defamatory, infringing, or personal health information beyond minimal scheduling needs. No use for spam, malware distribution, credential harvesting, or high‑risk emergencies where life‑critical timing depends solely on the platform.
Clinic & Patient Content
You retain ownership of Clinic and Patient Content. You grant Qlynic a limited, worldwide, non‑exclusive license to process such Content solely for providing and improving the Services. You represent that you have rights and consents necessary to input data (including patient contact info).
Avoid storing diagnostic notes or full medical records—platform scope is scheduling & communication.
Payments, Trials & Taxes
- One‑time license fees are processed by Stripe or another listed processor. We do not store card numbers.
- Trials are limited; abuse (multiple sign‑ups) may revoke access.
- Taxes (VAT/GST) may be handled automatically by the payment processor.
- Refunds are discretionary unless required by law; contact support within 14 days for review.
Intellectual Property
All rights in the Services, code, design, and trademarks remain with Qlynic. No implied rights are granted other than those expressly stated.
Confidentiality
“Confidential Information” includes non‑public technical, financial, and operational data. Each party will use reasonable care to protect the other party’s Confidential Information and shall not disclose it except as required by law or with written consent.
Security Responsibilities
We implement layered security controls. You are responsible for endpoint security, credential hygiene, and using the platform consistent with compliance obligations (e.g. GDPR, HIPAA if applicable—additional agreements may be required).
Third‑Party Services
Integrations (email, payment, analytics) are operated by third parties. Their terms and privacy policies apply in addition to these Terms. We are not liable for third‑party outages beyond our control.
Beta & Experimental Features
Beta features are provided “AS IS” for evaluation, may change without notice, and are excluded from uptime or support guarantees. Do not rely on beta functionality for mission‑critical workflows.
Availability & Support
- We target high availability but do not guarantee uninterrupted service.
- Planned maintenance is communicated when possible.
- Support channels (email / portal) handle normal inquiries; urgent incidents (security) prioritized.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR CONTINUOUS ERROR‑FREE OPERATION. CLINICAL DECISIONS SHOULD NOT SOLELY RELY ON AUTOMATED SCHEDULING OR REMINDER OUTCOMES.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QLYNIC’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12‑MONTH PERIOD SHALL NOT EXCEED THE FEES PAID FOR THE LICENSE DURING THAT PERIOD (OR USD/CAD 100 IF NO FEES WERE PAID). WE DISCLAIM INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Indemnification
You agree to indemnify and hold Qlynic harmless from third‑party claims arising from: (a) misuse of the Services; (b) infringement caused by your Content; (c) violation of laws or patient consent requirements.
Termination
You may discontinue use at any time. We may suspend or terminate access for material breach, security risk, or unlawful activity. Upon termination, your license ends; we may retain minimal audit logs as required by law.
Governing Law
Unless superseded by mandatory local law, these Terms are governed by the laws of Province of Ontario, Canada (replace if needed), excluding conflict of laws principles. Courts of the chosen jurisdiction have exclusive venue.
Changes to Terms
We may update Terms for operational, legal, or security reasons. Material changes will be posted with a revised “Last updated” date. Continued use constitutes acceptance.
